Vendor / Seller Agreement – Zepomart Multi-Vendor Marketplace

This Vendor Agreement (“Agreement”) is entered into by and between:

ZEPOMART ETAIL PRIVATE LIMITED (“Zepomart”, “We”, “Us”, “Our”), operating the online marketplace www.zepomart.in, and the Vendor/Seller (“You”, “Your”), who registers to sell products on our platform.

By registering as a Vendor on Zepomart, you acknowledge and agree to the Seller terms & Condition outlined below.

1. Vendor Onboarding & Eligibility

• Vendors must provide valid business details, including:
  • GST number (if applicable)
  • PAN card
  • Bank account details for settlements
  • Business registration documents (if applicable)
• You must be legally capable of entering into binding contracts under Indian law.
• Zepomart reserves the right to approve, reject, or suspend vendor accounts at its discretion.

2. Product Listings

• Vendors must upload accurate, complete, and updated product information (descriptions, pricing, stock availability, images).
• Vendors are solely responsible for ensuring products comply with all applicable Indian laws, safety standards, and labeling requirements.
• Prohibited items (illegal, counterfeit, restricted goods) must not be listed.
• Zepomart reserves the right to review, edit, or remove listings that violate policies.

3. Orders & Fulfilment

• Vendors must process and dispatch orders within 1–2 business days of receiving order confirmation.
• Vendors must use safe and secure packaging to avoid product damage during shipping.
• Failure to fulfil orders on time may result in penalties, order cancellation, or account suspension.

4. Returns, Refunds & Replacements

• Vendors must comply with Zepomart’s Return & Refund Policy.
• If a product is returned due to defects, wrong item, or damage, the vendor is responsible for accepting the return and issuing a replacement/refund.
• Refunds to customers will be processed by Zepomart on behalf of the vendor, and the amount will be adjusted in the vendor’s payouts.
• Certain non-returnable products (as listed in Zepomart’s Return Policy) are exempted.

5. Payments & Payouts

• All customer payments are collected by Zepomart through secure payment gateways.
• Vendor payouts (after deducting Zepomart’s commission/service fees, taxes, and penalties if any) will be settled to the vendor’s registered bank account within 7–15 business days of order delivery.
• Vendors are responsible for their own GST filings and tax compliance. Zepomart will provide necessary invoices/statements for settlements.

6. Vendor Responsibilities & Conduct

Vendors agree to:

• Sell only authentic, legal, and quality-assured products.
• Provide prompt and professional customer service for order-related issues.
• Avoid misleading advertising, false claims, or fake reviews.
• Abide by all applicable laws of India, including the Consumer Protection Act, 2019.
• Not engage in any activity that may harm Zepomart’s reputation or customers.

7. Intellectual Property

• Vendors must not list products that infringe upon trademarks, copyrights, or patents of third parties.
• Any reported IPR violation may result in product removal, vendor suspension, or legal action.

8. Indemnity & Liability

• Vendors shall be solely liable for any claims, damages, or legal disputes arising out of their products.
• Vendors agree to indemnify and hold harmless Zepomart from any claims, losses, or penalties arising from:
  • defective or illegal products,
  • violation of laws,
  • customer complaints.
• Zepomart acts only as a marketplace facilitator and is not the manufacturer/seller of vendor products.

9. Termination & Suspension

• Zepomart may suspend or terminate vendor accounts in cases of:
  • repeated order cancellations or delays,
  • fraudulent or illegal activity,
  • customer complaints or policy violations.
• Vendors may terminate their account by giving 7 days written notice, provided all pending orders and payouts are settled.

10. Governing Law & Jurisdiction

• This Agreement shall be governed by the laws of India.
• These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of India
• Any disputes shall be subject to the exclusive jurisdiction of Ahmedabad, Gujarat.
